Apostille
An apostille is an official certificate that makes a US document, such as your LLC's formation papers, legally recognized in other countries under the Hague Convention. Non-resident founders use apostilles to prove their US company exists to foreign banks and authorities.
An apostille is a certificate attached to a document to prove it is genuine for use in another country. It comes from the Hague Apostille Convention, an international agreement that lets member countries accept each other's official papers without slow embassy legalization. In the US, the secretary of state of the state that issued the document adds the apostille, usually for a fee of a few dollars to around $20 plus service costs.
Non-resident founders meet apostilles when their home country asks for proof of the US LLC. A bank in Germany, a tax office in Brazil, or a business registry in the UAE may want your certificate of formation or a certificate of good standing, apostilled, before recognizing the company. The typical flow has three steps: order a certified copy of the document from your formation state, request the apostille from that state's secretary of state office, then present the finished package abroad, often together with a certified translation into the local language.
The key thing to understand is that an apostille is a state and international matter, not an IRS one. It does not replace any federal filing. Your foreign-owned LLC still must file Form 5472 with its pro forma Form 1120 by April 15, or Form 1065 by March 15 if it has multiple members, regardless of how many apostilled certificates you hold. The IRS never asks for an apostille on those filings.
Where the two worlds touch is documentation. If you claim treaty benefits, respond to an IRS notice, or apply for an ITIN with Form W-7, certified copies of foreign documents like your passport come into play, moving in the opposite direction, from your country toward the US. Keep both kinds of paperwork organized: apostilled US documents to satisfy authorities abroad, and clean IRS filings to satisfy the US side.
