Partnership Representative
The partnership representative is the person or entity named on Form 1065 with sole authority to deal with the IRS for the partnership. The representative must have a substantial presence in the US, including a US address and US taxpayer number.
Every partnership return needs a name in the partnership representative box on Form 1065. This is the person or company the IRS will talk to if it ever examines the return, and whatever the representative agrees to binds the whole partnership and all its partners. Partners who were never consulted are still stuck with the outcome, which is why choosing this person deserves more thought than most founders give it.
The catch for foreign-owned multi-member LLCs is the substantial presence rule. The representative must have a US taxpayer identification number, a US address, and a US phone number. Two founders in Colombia and Egypt who own a US LLC together often cannot serve themselves. If an entity is named as representative, the partnership must also appoint a designated individual who meets the same US presence tests.
In practice, non-resident founders solve this in a few ways: one partner who has an ITIN and a genuine US address serves, a US-based manager or adviser takes the role, or a professional service provides a qualifying representative. The designation is made fresh on each year's Form 1065, due March 15 for a calendar-year LLC, so the choice can change from year to year without any special paperwork.
The representative does not replace the rest of your compliance. The LLC still prepares Schedule K-1s for each partner, still handles foreign partner withholding on Forms 8804 and 8805 when it has US business income, and any US corporation in the structure still watches its Form 5472 duties. Think of the representative as the partnership's official point of contact, not its accountant: the role only becomes visible when the IRS comes asking, and by then you want the right name in the box.
