Permanent Establishment
A permanent establishment is a fixed place of business, such as an office, branch, or dependent agent, that a tax treaty uses to decide whether a country may tax a foreign company's business profits. No permanent establishment usually means no US tax on treaty-protected profits.
Permanent establishment, often shortened to PE, is a tax treaty concept that answers one question: does your business have enough physical presence in a country for that country to tax its profits? Classic examples of a PE include an office, a branch, a workshop, a construction site that runs long enough, or a person in the country who habitually signs contracts for you, known as a dependent agent.
For a founder in a treaty country, PE is a powerful shield. US tax law taxes effectively connected income, but a treaty can override that: if your country's treaty with the US says business profits are taxable only where you have a PE, and you have no US office, no US employees, and no dependent agent, the treaty can protect your profit from US income tax even if some activity touches the US. Claiming that position is done on a US return, typically with Form 8833 attached to explain the treaty article you rely on.
What does not create a PE matters just as much. Simply owning a US LLC does not, by itself, give you a permanent establishment. Neither does having a US bank account, a registered agent in Wyoming, US customers, or a mail forwarding address. A developer in Poland billing $80,000 a year through a Delaware LLC, with all of the work performed from Poland and no one in America acting on her behalf, typically has no US PE under the US-Poland treaty.
None of this touches the information filings. Whether or not you have a PE, a foreign-owned single-member LLC files Form 5472 with a pro forma Form 1120 by April 15, and a multi-member LLC files Form 1065 by March 15. The PE analysis decides whether income tax is owed; the section 6038A reporting duty, backed by the $25,000 penalty, exists either way.
