Form 5472 for Amazon FBA Sellers (2026 Guide)

October 8, 2026•Ravindu Dhananjaya•11 min read

If you run an Amazon FBA business through a US LLC and you are not a US resident, there is a federal filing most sellers have never heard of: Form 5472. It has nothing to do with sales tax, nothing to do with your 1099-K, and missing it carries an automatic $25,000 penalty even if your store made no profit. This guide explains exactly which FBA money flows the IRS wants reported, which ones don’t belong on the form at all, and how to file correctly before the April 15 deadline.

The confusion is understandable. Amazon sellers already juggle marketplace sales tax, 1099-Ks, and state registrations so a federal informationreturn that ignores revenue entirely feels backwards. But the rule is simple once you see the pattern: the IRS doesn’t care about your customers. It cares about you and your LLC.

Does an Amazon FBA Seller With a Foreign-Owned LLC Need to File Form 5472?

Almost certainly yes. If your single-member US LLC is owned by a non-US person and had even one transaction with you during the year startup capital in, profit out, a formation fee you paid personally you must file Form 5472 attached to a pro forma Form 1120.

The requirement applies to any US disregarded entity(a single-member LLC that hasn’t elected corporate taxation) that is 25% or more foreign-owned and had a reportable transactionwith a foreign related party. In practice, an FBA seller trips this wire in year one before the first product ever ships: you paid a state formation fee, you wired money into the LLC’s bank account to buy inventory, or both. Each of those is a reportable transaction.

Note that this is the single-member rule. A multi-member LLC files a partnership return (Form 1065) instead see our guide to single-member vs multi-member LLC filing if you have a business partner. What Is Form 5472 and Why It Has Nothing to Do With Sales Tax

Form 5472 is an information return: it discloses transactions between your US LLC and its foreign owner so the IRS can see money moving across the border. It calculates zero tax. It is not a sales tax filing, not an income tax return, and not related to the 1099-K Amazon issues.

Many FBA sellers assume they are “covered” because Amazon collects sales tax on their orders as a marketplace facilitator. That covers state sales tax a completely different system run by state governments. Form 5472 is federal, goes to the IRS, and is triggered by owner-LLC transactions, not sales. We compare the two systems in a table below, and our complete Form 5472 guide covers the form’s history and mechanics in depth.

Which FBA Money Flows Are Reportable Transactions?

A reportable transaction is any exchange of money or value between your LLC and a foreign related party primarily you, the owner. Customer sales and payments to unrelated vendors are not related-party transactions, no matter how large.

Here is how the typical FBA money flows sort out. This is the table most guides skip:

FBA money flowReportable on Form 5472?Why
Amazon payout (disbursement) lands in the LLC bank accountNoRevenue from unrelated customers via an unrelated platform
Amazon deducts FBA fees, referral fees, storage feesNoPayments to an unrelated party (Amazon)
PPC / advertising charges paid from the LLC accountNoOrdinary expense to an unrelated party
Inventory purchased from an unrelated supplier (e.g. Alibaba factory)NoUnrelated-party purchase, even if the supplier is foreign
You wire startup capital or inventory funds into the LLCYesCapital contribution from the foreign owner
You pay a supplier invoice or Amazon fee from your personal cardYesOwner paid an LLC expense treated as a contribution
You withdraw profit to your personal (foreign) accountYesDistribution to the foreign owner
You lend money to the LLC, or it lends to youYesLoans between the LLC and a related party, either direction
Inventory purchased from a foreign company you ownYesRelated-party purchase reported in Part IV
State formation fee / registered agent you paid personallyYesFormation amounts are expressly reportable

The pattern: customer money and vendor money stay off the form; owner money goes on it. For the full taxonomy with form line references, see reportable transactions explained.

Do Amazon Payouts to Your LLC Bank Account Count?

No.Amazon’s bi-weekly disbursements are sales revenue from unrelated customers, paid through an unrelated platform they are not transactions with a foreign related party, so they do not appear on Form 5472.

This is the question sellers ask most, because the payouts are usually the largest numbers in the account. But size is irrelevant. A $500,000 year of Amazon disbursements adds nothing to the form, while a single $2,000 transfer from your personal account to top up an inventory order must be reported. What matters is who is on the other side of the transaction and Amazon is not related to you.

The trap comes one step later: the moment you move that revenue out of the LLC to yourself, the withdrawal becomes a reportable distribution. The payout itself is invisible to Form 5472; your withdrawal of it is not. The same logic applies to sellers collecting through other processors our Stripe & PayPal guide for foreign-owned LLCs walks through the identical analysis for non-Amazon channels.

Owner Money In: Startup Capital, Inventory Funding, and Personal-Card Expenses

Every dollar you personally put toward the business is a capital contribution, and contributions are reportable. FBA businesses are capital-hungry, so these add up fast.

Typical examples from a first FBA year:

  • Wiring $10,000 into the LLC’s US bank account to fund the first inventory order
  • Paying the supplier’s deposit directly from your personal foreign bank account because the LLC account wasn’t open yet
  • Covering product photography, freight forwarding, or Helium 10 subscriptions on a personal card
  • Paying the state formation fee and registered agent yourself

Note the second and third items: the money never touched the LLC bank account, but you still paid an LLC expense from personal funds. The IRS treats that as a contribution to the entity. Keep a simple ledger of these owner-paid amounts during the year totaling them in April from memory is where filings go wrong.

Money Out: Profit Withdrawals Are Distributions

Any transfer from the LLC to you is a distribution, and distributions are reportable. It does not matter whether you call it profit, salary, reimbursement, or “moving my own money.”

For a disregarded entity the label has no tax significance but the transfer itself must be disclosed. If you moved $30,000 of FBA profit from the LLC’s Mercury account to your personal account in Lisbon or Lahore during the year, that total goes on the form. Transfers to family members or to another company you own count too: the “related party” net is wide, covering close relatives and entities under common ownership.

Buying Inventory From Foreign Suppliers: When It Becomes a Related-Party Transaction

Purchases from an unrelated supplier the typical Alibaba factory or trading company are ordinary business expenses and stay off Form 5472. Purchases from a foreign company you own are a different story.

Plenty of FBA sellers run a two-company structure: a manufacturing or sourcing company at home (in China, India, Turkey, the UK…) plus a US LLC that sells on Amazon. When the US LLC buys inventory from your own foreign company, every purchase is a related-party transaction reported in Part IV of Form 5472 (purchases of stock in trade). The same applies if the supplier is owned by your spouse, parent, or sibling, or by another entity you control.

This matters for two reasons. First, the amounts are usually large inventory is an FBA seller’s biggest cost, so a related-supplier arrangement can put six figures of purchases on the form. Second, related-party pricing is exactly what Form 5472 exists to surface: the IRS wants to see whether your US entity is paying its sibling company arm’s-length prices. Report the gross amounts accurately and keep the invoices a substantially incomplete form carries the same $25,000 penalty as an unfiled one.

What About Income Tax? ECI and Form 1040-NR in Plain English

Form 5472 discloses transactions; it does not settle whether you owe US income tax on FBA profits. That depends on whether your profits are US-source effectively connected income (ECI) a separate, fact-specific analysis.

Here is the honest summary. Many foreign-owned service LLCs with no US presence owe no US income tax yet still must file Form 5472. FBA sellers are a harder case: your inventory sits in US warehouses and professionals genuinely disagree about whether Amazon’s fulfillment network gives a non-resident seller a US trade or business. If your income is effectively connected, you would also file Form 1040-NR as the owner, and a tax treaty between the US and your home country may change the outcome.

Two takeaways. First, get a professional opinion on your ECI position it depends on your country, treaty, and setup. Second, whatever that opinion says, Form 5472 is due either way. It is the one filing that does not wait for the income-tax question to be answered.

Sales Tax vs Form 5472: Two Different Systems

Sales tax and Form 5472 are administered by different governments, triggered by different events, and satisfied by different filings. Handling one does nothing for the other here is the side-by-side:

State sales taxForm 5472
LevelState governmentsFederal (IRS)
Triggered bySales to customers / nexus (e.g. FBA inventory in a state)Transactions between the LLC and its foreign owner
Who usually handles itAmazon, as marketplace facilitator, collects and remits on marketplace ordersYou (or your filing service) Amazon plays no role
What is paidA percentage of each saleNothing it is an information return
Cost of ignoring itBack taxes, interest, state penaltiesAutomatic $25,000 per form, per year

The dangerous version of this confusion runs: “Amazon handles my taxes, so I’m compliant.” Amazon handles most marketplace sales tax. It does not file your Form 5472, does not know your LLC’s ownership, and will never warn you about an IRS information return.

Deadlines, Penalties, and How to File

Form 5472 is due April 15 following the tax year (calendar-year filers), attached to a pro forma Form 1120, and the penalty for missing it is $25,000 per form, per year under IRC §6038A plus another $25,000 for each 30-day period the failure continues after 90 days of an IRS notice.

The filing itself has quirks that trip up FBA sellers used to online everything:

Step 1: Get your numbers together

Total your contributions (money in, plus LLC expenses you paid personally), distributions (money out to you), any owner loans, and if you buy from your own foreign company gross related-party inventory purchases. Amazon payouts, fees, and unrelated-supplier invoices stay out.

Step 2: Prepare Form 5472 + pro forma 1120

The pro forma 1120 is a cover page: name, address, EIN, tax year, with “Foreign-owned U.S. DE” written across the top and income lines left blank. Form 5472 carries the substance LLC details in Part I, your details in Part II, related-party purchases in Part IV, owner contributions and distributions in Part V. You need an EIN (but not an ITIN). Official instructions: irs.gov/instructions/i5472.

Step 3: Fax or mail it you cannot e-file

Foreign-owned disregarded entities cannot e-file this package. It goes by fax to (855) 887-7737 or by mail to the IRS in Ogden, Utah. Need more time? A Form 7004 extension faxed or mailed by April 15 pushes the deadline to October 15.

Key Takeaways

  • A non-resident selling on Amazon FBA through a US single-member LLC almost always must file Form 5472 + pro forma 1120 even with zero profit.
  • Amazon payouts, FBA fees, PPC charges, and unrelated-supplier purchases are not reportable they involve no foreign related party.
  • Money you put in (capital, personally-paid expenses) and money you take out (distributions) are reportable.
  • Buying inventory from a foreign company you or your family own makes those purchases related-party transactions reported in Part IV.
  • Sales tax and Form 5472 are unrelated systems Amazon collecting sales tax does nothing for your IRS filing.
  • Form 5472 calculates no tax; whether FBA profits are US-taxable is a separate ECI / Form 1040-NR question worth professional advice.
  • Deadline: April 15, extendable to October 15 with Form 7004 filed by April 15.
  • Penalty: an automatic $25,000 per form per year the same for a substantially incomplete filing as for a missing one.
  • The package cannot be e-filed fax (855) 887-7737 or mail to the IRS in Ogden, UT.
  • Keep a running ledger of owner contributions and withdrawals it turns April into a 15-minute task instead of a forensic project.

Frequently Asked Questions

Do Amazon FBA sellers with a foreign-owned LLC need to file Form 5472?+

Almost always yes. The filing is triggered by transactions between you and your LLC startup capital you wired in, profit you withdrew, formation costs you paid personally not by Amazon sales. Nearly every FBA seller has at least one of those in every year the LLC exists.

Do Amazon payouts to my LLC bank account go on Form 5472?+

No. Amazon disbursements are payments from an unrelated party for sales to unrelated customers, so they are not related-party transactions. Form 5472 reports money moving between the LLC and its foreign owner (or other foreign related parties), not ordinary customer revenue.

I pay Amazon sales tax through the marketplace. Does that cover Form 5472?+

No. Sales tax is a state-level tax that Amazon mostly collects and remits for you as a marketplace facilitator. Form 5472 is a federal information return filed with the IRS. The two systems are completely separate complying with one does nothing for the other.

Is buying inventory from my supplier in China a reportable transaction?+

Not if the supplier is unrelated to you. Purchases from an independent factory or trading company are ordinary business expenses, not Form 5472 items. But if your LLC buys inventory from a foreign company you (or a close relative) own 25% or more of, those purchases are related-party transactions and must be reported.

Does filing Form 5472 mean I owe US income tax on FBA profits?+

Not by itself. Form 5472 is an information return it calculates no tax. Whether your FBA profits are taxable in the US depends on whether you have US-source effectively connected income, which is a separate analysis (and, if it applies, a separate Form 1040-NR filing).

When is Form 5472 due for my FBA business?+

April 15 following the tax year for calendar-year filers, attached to a pro forma Form 1120. You can extend to October 15 by faxing or mailing Form 7004 by April 15. The package cannot be e-filed by foreign-owned disregarded entities it goes to the IRS by fax or mail only.
