Form 8832
Form 8832 is the entity classification election, the IRS form an LLC uses to choose how it is taxed: as a corporation, a partnership, or a disregarded entity. Filing it changes which annual return the company owes, such as Form 1120 instead of Form 5472 with a pro forma 1120.
US tax law has a feature many countries lack: an LLC can choose its own tax identity. Form 8832, the entity classification election, is the form that makes the choice official. By default, a single-member LLC is a disregarded entity and a multi-member LLC is a partnership. File Form 8832 and either one can elect to be taxed as a C corporation instead. The company itself does not change under state law; only its tax treatment does.
The election rewires your annual filings. A foreign-owned single-member LLC that stays with the default files Form 5472 attached to a pro forma Form 1120 by April 15. Elect corporate status and the same LLC now files a full Form 1120 with real income and deductions, pays the flat 21% corporate tax on its profits, and still attaches Form 5472 for its related-party transactions. A multi-member LLC that elects out of partnership status stops filing Form 1065 and Schedule K-1s and moves to Form 1120 as well.
Timing rules deserve attention. The election can take effect up to 75 days before the filing date or up to 12 months after, and once made, the classification generally cannot be changed again for 60 months. That five-year lock means a rushed election to solve one year's problem can shape your taxes for half a decade. Foreign owners also should check how their home country views the choice, since a mismatch can create double taxation.
Why would a non-resident founder elect corporate status? Common reasons include keeping profits inside the company for reinvestment at the 21% rate, satisfying investors who expect a corporate structure, or simplifying home-country reporting. Why avoid it? A default LLC with no US trade or business often owes no US income tax at all, and electing corporate status can create a real tax bill where none existed. Run the numbers before signing.
