Substantial Compliance
Substantial compliance is the standard the IRS uses to judge whether a filed Form 5472 counts as filed at all. A form with missing related parties, blank transaction amounts, or wrong identifying details can be treated as not filed and penalized $25,000.
Filing something is not always enough. The regulations under section 6038A say a Form 5472 must be substantially complete to count, and the IRS can treat a substantially incomplete form exactly like a missing one. That means the $25,000 penalty can land even though you mailed a form before the April 15 deadline. Substantial compliance is the line between a filing that protects you and paper that does not.
What pushes a form below the line? Leaving out a related party entirely is the clearest failure: if your LLC transacted with both you and your foreign company, and you filed one Form 5472 instead of two, the package is incomplete. Blank or obviously wrong transaction amounts, a missing foreign owner name or address in Part II, and skipped identifying details like the owner's country and tax number are the other classic gaps. Small typos or a rounded number are not the concern; whole missing sections are.
Picture a founder in Kenya who files on time but writes only the LLC name and EIN, leaving the transaction lines empty because she was unsure of the exact amounts. The IRS can rule that filing substantially incomplete and assess $25,000, the same as if nothing had arrived at all. Filing an amended, complete form as quickly as possible, together with a reasonable cause explanation of what happened, is the standard repair and often succeeds for first-time filers.
The practical lesson is to finish the form, not just start it. Keep a simple ledger of contributions, distributions, and payments during the year so real numbers are available when you or your service provider prepare the filing. The same spirit applies to a multi-member LLC's Form 1065, due March 15, where missing Schedule K-1s can trigger penalties of $255 per partner per month. Complete and roughly right beats precise but partial every time.
