Base Penalty: $25,000 Per Form
The IRS imposes a $25,000 penalty for each Form 5472 that is not filed, filed late, or filed with substantially incomplete or inaccurate information. This penalty applies per form, per tax year — meaning if you are required to file multiple Forms 5472, each one carries its own potential penalty.
Important Warning
Unlike many other IRS penalties, there is no reasonable cause exception for the Form 5472 penalty. The IRS can assess this penalty even if you had a legitimate reason for not filing. The only relief available is through the IRS penalty abatement process, which requires demonstrating that you acted in good faith.

Continued Non-Compliance
If the IRS sends a notice of failure to file and you still do not comply within 90 days, an additional $25,000 penalty is assessed for each 30-day period of continued non-compliance (or fraction thereof).
Criminal Penalties
In extreme cases, willful failure to file can result in criminal penalties under IRC Section 7203, including fines up to $25,000 and imprisonment for up to one year.
